Terms and Conditions

Effective date: 24 August 2026

Thanks for choosing SimplyPaid. These Terms of Service (“Terms”) govern your use of the SimplyPaid service (“Service”). By creating an account, paying the listing fee, or listing a debt, you agree to these Terms. If you’re signing up on behalf of a business, you confirm you have the authority to bind that business.

SimplyPaid is a trading name of Debtflow (Pty) Ltd (“we”, “us”, “our”), a company registered in South Africa.

We’ve tried to write these Terms in plain language. If anything is unclear, contact us — we’re happy to explain.

The Service is for the small business that is owed money (you, the customer). It is not a consumer credit product and it is not legal advice.

1. What SimplyPaid is

1.1 SimplyPaid helps you assemble a complete file for a small unpaid invoice, send a final demand in your name, and — if the debtor still does not pay — hand that file to a debt collector who is registered with the Council for Debt Collectors.

1.2 We are not ourselves collecting the debt for you. The collector who takes the handover is the collector. You appoint that collector when you list the debt. We operate the intake, the demand, and the handoff.

1.3 If the debtor pays you on the final demand, you keep that payment in full. We keep the listing fee. The file is closed. No collection commission.

2. Your account

2.1 You need a valid email address and accurate information about your business, including a South African bank account we (or the collector) can pay.

2.2 You’re responsible for keeping your login secure. Tell us immediately if you suspect unauthorised access.

2.3 You must be authorised to instruct collection on the debts you list, and the invoices must belong to your business.

3. What you may list

You may only list a debt if all of the following are true:

We may refuse or close a listing that does not meet this. The listing fee is not refunded if we refuse because you uploaded a file you should not have listed.

4. Fees you agree to

By listing a debt you agree to the following. We will show you these amounts again before you pay.

4.1 Listing fee

You pay a one-off listing fee to list each debt. That fee covers assembling the file and sending your final demand. It is charged when you list, through our payment processor. Once the demand has been sent, the listing fee is not refundable.

4.2 If they pay on the demand

The debtor is told to pay you. You keep 100% of that payment. No collection commission. You must tell us the debt is paid when we ask (or sooner).

4.3 If the file is handed over — 30% collection fee

If the debt is still owing after the demand period, the file is handed to the registered collector. From that moment, a collection commission of 30% applies to amounts recovered on the original debt. You receive 70 cents of every rand recovered on that original debt.

Example: original debt R585, fully recovered after handover. You receive R409.50 (70% of R585), less the R50 listing fee you already paid, so R359.50.

4.4 Collection costs and receipt fees

Lawful collection costs and fees may be charged by the collector on the account the debtor owes. These costs are for the collector and are separate to the collection commission

You agree that the collector may collect their costs along with the capital amount owed to you on a 50/50 basis. They recover their costs from the debtor at the same time as they recover the capital amount owed to you.

4.5 They paid you directly after handover

This is the important one.

Once the account has been handed over, if the debtor pays you — cash, EFT, a “sorry here’s the money” — that payment still counts as a recovery. You remain liable for the 30% collection fee on that amount, as if the collector had received it on your behalf.

You must tell us (and the collector) as soon as you receive it. We or the collector will invoice you the 30%, or set it off against money otherwise due to you. Hiding a direct payment is a breach of these Terms.

4.6 No payout until R200

You will not receive a payout until your collected balance across all your SimplyPaid debts is at least R200. Smaller recoveries stay on your balance and are included in the next payout that crosses R200. We (or the collector) pay you into the bank account on your profile.

4.7 Price changes

We may change the listing fee or the collection commission. Changes will only apply to new debts you list after we have posted the updated amounts. Files already listed keep the deal you agreed when you listed them.

5. What you must do

5.1 Give us accurate debtor and invoice information. You are responsible for that data. We do not independently verify that the debtor owes you.

5.2 Ensure that you supply us with correct and up to date bank details. Failed payouts because of a wrong account cannot be refunded.

5.3 Notify us immediately if you receive a payment from the debtor.

5.4 After handover, notify us of any direct payments you receive from the debtor.

5.5 Use the Service in accordance with South African law, including POPIA. You confirm you hold the debtor’s information lawfully and that we may use it to send your demand and, if needed, to hand the file to the collector.

You must not list debts you are not owed, upload someone else’s customers, or use the Service to harass anyone.

6. Our responsibility

6.1 We do not promise that any particular debt will be recovered. A listed debt may recover in full, in part, or not at all.

7. Acceptable use

You must not:

We may suspend or close your account for breach. Listing fees already used to send a demand are not refunded.

8. Refunds

Nothing in these Terms limits rights you cannot sign away.

The listing fee is for a specific piece of work (the file and the demand). Once that demand has been sent, it is consumed and not refundable, except where we failed to send it, the Service was misdescribed, or the law requires a refund.

Collection commission is retained by the collector and the remaining balance is paid to you. Therefore there are no refunds on collection commission.

9. Complaints

Email us with your account email, the listing reference, what went wrong, and what you want done. We aim to acknowledge within 2 business days and respond within 10.

10. Data and records

You retain ownership of the invoices and records you upload. We process them as set out in our Privacy Policy. You should keep your own copies.

11. Closing your account

You may close your account at any time. Files already handed to a collector will be withdrawn from the system and the collector will be notified. All money still owed to you in accordance with section 4.6 will be paid to you.

12. Intellectual property

The SimplyPaid and Debtflow software, design, and brand are ours. Your invoices and customer records remain yours.

13. Changes to these Terms

We may update these Terms. If a change is significant, we will notify you (for example by email). The current version will be on this page.

14. Disclaimers

The Service is provided “as is” and “as available.” We may modify or suspend it. We do not warrant that a debtor will pay, that a collector will recover, or that a credit listing will or will not happen.

You are responsible for decisions you make about writing off, listing, or taking legal action.

15. Limitation of liability

To the extent permitted by law, we are not liable for indirect or consequential loss (including a debt that is never recovered, or a customer relationship that sours).

Our total liability to you for any claim is limited to the listing fees you paid us in the 12 months before the claim, plus any collected balance we may be holding for you.

16. Indemnity

You agree to indemnify Debtflow (Pty) Ltd and its officers and staff against third-party claims arising from a debt you listed that was not owing, from data you uploaded unlawfully, or from your breach of these Terms.

17. Miscellaneous

If part of these Terms is unenforceable, the rest still applies.

These Terms are governed by the laws of South Africa.
